Terms of Service
1. General
1.1. These terms of service (the Terms) govern the use of the website digimaja.ee and the software service provided through it (the Service). The Service is provided by Digimaja OÜ, registry code 12886842, e-mail info@digimaja.ee (the Provider).
1.2. The Service is web-based software for managing apartment associations and their accounting: association and apartment data, meter readings, distribution of expenses, invoicing and e-invoices, import of payments from banks, an accounting module, announcements, document management and electronic voting for general meetings.
1.3. The Customer is the apartment association or other legal entity on whose behalf the Service is used. A User is a natural person who logs in to the Service (for example a board member, accountant, manager, apartment owner or resident).
1.4. By using the Service, including by creating an account or logging in, the User confirms that they have read and accept the Terms. A User who does not accept the Terms must not use the Service.
2. Account and access
2.1. Users log in with an e-mail address and password or with an Estonian ID card.
2.2. The User must keep their login credentials confidential and is responsible for all actions taken through their account. The Provider must be notified without delay if the credentials are compromised.
2.3. The representative of an association who creates the association's account confirms that they are authorised to represent the association and to accept the Terms on its behalf. The representative manages the access rights of other Users and is responsible for granting and revoking them.
2.4. The User must provide accurate information and keep it up to date.
3. Fees and payment
3.1. The fees for the Service are listed on the pricing page. Some features are free of charge. Fees for paid modules are calculated monthly based on the number of apartments in the association.
3.2. New Customers may use the Service free of charge for the first three months.
3.3. The Provider issues invoices to the Customer for paid modules. The payment term and late interest are stated on the invoice. VAT is added to the fees as required by law.
3.4. The Provider may change the price list by notifying the Customer through the Service or by e-mail at least 30 days in advance.
3.5. If an invoice remains unpaid after a reminder, the Provider may restrict the use of paid modules until the debt is settled.
4. Customer data and responsibility
4.1. All data entered into the Service (association, apartment, person, meter reading, invoice and accounting data, and documents) belongs to the Customer. The Customer is responsible for the accuracy, completeness and lawfulness of the data.
4.2. The Customer is the controller of the personal data entered into the Service and the Provider is the processor. The Customer ensures that it has a legal basis for processing personal data, including data of apartment owners and residents. Processing of personal data is described in the privacy policy.
4.3. The Service is a tool. The Customer is responsible for the substantive correctness of accounting, taxes, reports and invoices and for their compliance with legislation. The Provider does not provide accounting, legal or tax advice.
4.4. The Customer can export its data from the Service. Restoring data from a backup at the Customer's request is a paid service according to the price list.
5. Acceptable use
5.1. The Service must not be used for unlawful purposes or in a way that harms the Provider, other Customers or third parties.
5.2. It is prohibited to interfere with the operation of the Service, to make automated requests, to distribute malware, to test the security of the Service without the Provider's written permission, to attempt to access other Customers' data, to copy or reverse-engineer the software, or to pass one's access on to third parties.
6. Intellectual property
6.1. The software, its source code, design, logos and texts belong to the Provider or its licensors.
6.2. The Customer is granted a non-exclusive, non-transferable right to use the Service under the Terms for the duration of the agreement.
7. Availability and changes
7.1. The Provider strives to keep the Service continuously available but does not guarantee that it operates without interruptions or errors. Scheduled maintenance is announced in advance where possible.
7.2. The Provider may develop the Service and change, add or remove features.
7.3. The Provider makes regular backups of the data.
8. Limitation of liability
8.1. The Provider is not liable for indirect damage or lost profit, nor for damage arising from data entered by the Customer, from third-party services (banks, e-invoice operators, state information systems) or from force majeure.
8.2. The Provider's liability is limited to the amount the Customer has paid for the Service during the 12 months preceding the event causing the damage. This limitation does not apply in the case of intent or gross negligence.
9. Term and termination
9.1. The agreement is concluded for an indefinite term. The Customer may stop using the Service at any time by notifying the Provider by e-mail. Termination takes effect at the end of the current billing period.
9.2. The Provider may terminate the agreement with at least 30 days' notice. In the event of a material breach of the Terms, the Provider may restrict access or terminate the agreement without notice.
9.3. After termination the Provider retains the Customer's data for at least 3 months so that the Customer can export it. The data is then deleted, except for data that must be retained by law.
10. Changes to the Terms
10.1. The Provider may amend the Terms by giving notice through the Service or by e-mail at least 30 days before the changes take effect. A User who continues to use the Service after the changes take effect is deemed to have accepted them.
11. Governing law and disputes
11.1. The Terms are governed by the laws of the Republic of Estonia. Disputes are resolved by negotiation. If no agreement is reached, the dispute is resolved by the court of the Provider's registered seat.
